EIDF, a company specialized in photovoltaic solar energy installations, has approved several agreements during an Extraordinary General Meeting that give the Board of Directors the authority to continue working on the company’s strategic line.
The Meeting was attended by 82.68% of the share capital and commenced the approval of new directors, agreeing to set the number of members of the Board of Directors at nine (9).
The appointment of four new directors has been approved: Jordi Berini Suñé as sole director, Eduard Romeu Barceló as independent director, Susana Olcina Guerrero as independent director and Laura Zendrera Roig.
The newly established members of the EiDF Solar Board of Directors share an extensive professional career they have built at renowned companies. They are committed to making their valuable knowledge and experience available to contribute to the growth of the company.

Another proposal of the Extraordinary Council was the change of the corporate purpose of the Company, with the relevant legal adjustment. It was approved to amend Article 2 of the Corporate Bylaws to expressly include CNAE 3519, “production of electrical energy.”
The activities that constitute the corporate purpose can be carried out in whole or in part indirectly by the company, through its participation in other companies with identical or analogous objectives. All activities for which the law imposes special requirements that this company does not meet are excluded.
If the legal provisions for the exercise of some of the activities falling within the corporate purpose require a professional title, administrative license or registration in public registers, these activities must be carried out through a person who holds the said professional title and, if applicable, may cannot be started until the necessary administrative requirements have been met.
The corporate purpose can be achieved by the Company, directly or indirectly, including through the ownership of shares or participations in companies with an identical or similar purpose.”
Another item on the agenda was the agreement on the delegation of powers, which is intended to authorize all members of the governing bodies so that each of them can sign, unclear and acting in the name and representation of the Association, how many members private and public documents.
